Il lavoro ha ad oggetto lo studio degli atti di destinazione disciplinati dall’art. 2645 ter, inserito nell’impianto codicistico con l’art. 39 novies, d.l. 273/2005, convertito in legge, con modificazioni, con la l. 51/2006. La consacrazione normativa della trascrizione degli atti di destinazione per fini meritevoli si insinua nell’ampia disputa, dottrinale e giurisprudenziale, sull’ammissibilità e trascrivibilità di negozi giuridici che abbiano l’effetto di realizzare una segregazione all’interno del complesso dei beni di titolarità di un unico soggetto, così da creare dei patrimoni che siano, per un verso, vincolati al perseguimento di uno scopo prefissato e, per altro verso, aggredibili soltanto per i debiti assunti dal gestore del patrimonio nell’esercizio delle attività strumentali al perseguimento di quello scopo. L’art. 2645 ter cod. civ. legittima ora la destinazione patrimoniale per la realizzazione di interessi la cui individuazione non è operata ex ante dal legislatore, bensì rimessa all’iniziativa dei soggetti, purché meritevoli di tutela ai sensi dell’art. 1322, 2°co cod. civ., così avvalorando l’idea di meritevolezza quale controllo di conformità dell’atto di autonomia all’assetto valoriale dell’ordinamento. Sebbene collocata nella normativa codicistica dedicata alla trascrizione, la norma presenta un’innegabile vocazione sostanziale, sì da imporre all’interprete la ricostruzione della figura negoziale dai “frammenti” di disciplina ivi contenuti. In particolare, il dato normativo consente di individuare nella separazione e nella conformazione dello statuto giuridico del bene vincolato la «minima unità effettuale» dell’atto di destinazione. Il vincolo destinatorio modula il contenuto della situazione giuridica soggettiva proprietaria allo scopo cui si destina il bene, sì da ascrivere ad esso i connotati della realitas. Al contempo, dà luogo ad un patrimonio separato, sottraendo il bene medesimo e i relativi frutti alla garanzia generica dei creditori, potendo su di essi soddisfarsi coattivamente soltanto i creditori cd. di scopo, in deroga al disposto di cui all’art. 2740, comma 1, cod. civ. ed in conformità al successivo secondo comma.
La ricostruzione della fattispecie negoziale costitutiva del vincolo apre la strada alla indagine del momento attuativo della destinazione e alla delineazione delle possibili modalità di gestione del “programma destinatorio”, muovendo dalla natura delle situazioni soggettive coinvolte e dalla valorizzazione dell’efficacia conformativa del vincolo, che funzionalizza l’esercizio della situazione dominicale verso la realizzazione dello scopo designato, precludendo forme di esercizio per esso pregiudizievoli e, pertanto, abusive perché “controfunzionali”. L’individuazione delle modalità gestorie del bene vincolato consente allora di rintracciare i possibili rimedi esperibili in caso di inattuazione del vincolo dovuta ad inerzia o mala gestio dell’attuatore, sia esso il disponente o un terzo, mandatario o fiduciario. A tal fine, l’art. 2645 ter cod. civ. legittima, oltre il conferente, qualsiasi interessato ad agire per la «realizzazione» dell’interesse destinatorio. Si consente così di apprestare un apparato rimediale eterogeneo e modulabile in relazione all’interesse di destinazione concretamente messo in evidenza, teso a tutelare l’attuazione del vincolo, sia qualitativa, a fronte dell’inerzia o di condotte abusive dell’attuatore, sia quantitativa, in quanto tesa alla conservazione del patrimonio destinato. [a cura dell'autore]; The paper concerns the study of separate acts, governed by art. 2645 ter of Civil Code, inserted in the Civil Code with Article 39 novies of the Decreto Legge no. 273 of 2005 (law no. 51 of 2006) and analyses the broad discussion kept by Doctrine and Jurisprudence, on the eligibility and the opportunity of registration of legal trades that have the effect of achieving segregation within the whole of the property of a single owner, in order to create assets that are, on the one hand, bound by the pursuit of a predetermined purpose and, on the other hand, only aggrieved by the debts of the asset manager in the exercise of the instrumental activity to pursue that purpose. The legal rule regulated by Article 2645 ter cod. civ. legitimates creation of patrimony separation in order to protect interests, that are not identified by law ex-ante, but refered to parties’ initiative, as long as they are “meritevoli” according to Article 1322, 2nd paragraph, Civil Code, which advocates idea of “meritevolezza” as a control of conformity of the act in compliance with the value of the legal system. Even if this legal rule is collocated in the chapter of the Civil Code dedicated to registration, it has
an undeniable substantial vocation, so that the commentator is obligated to interpretate the figure from the "fragments" of discipline contained therein. In particular, the legal rule allows to identify the “minima unità effettuale” of the separate act in the separation and conformation of the legal status of the bound goods. The boundary constituency modulates the content of the subjective juridical situation for the purpose of the good, so as to ascribe it the connotations of ‘realitas’. At the same time, it creates a separate asset, subtracting the same asset and its benefits to the generic guarantee of the creditors, by virtue of which they can satisfy only the creditors ‘di scopo’, notwithstanding the Article 2740, paragraph 1, of Civil Code, in accordance with the following second paragraph. The reconstruction of the negotial figure paves the way for research of the moment in which there is the implementation of the destination and the delineation of the possible ways of managing the "target program", moving from the nature of the subjective situations involved and the enhancement of the constraint-effective effectiveness which functionalizes the exercise of the dominant situation towards the realization of the intended purpose, precluding forms of exercise for it prejudicial and therefore abusive because they are "counter-functional". Determining the management mode of the constrained asset allows then to trace possible remedies in case of nonexecution of the constraint due to the inertia or maltreatment of the actuator, both the dispenser or a third party or a trustee. For this purpose, Art. 2645 ter of the Civil Code legitimates, besides the conferring, any interested in acting for the "realization" of the target interest. It is thus possible to provide a heterogeneous and modulating remedial apparatus in relation to the target interest that is specifically highlighted to protect the implementation of the bond, both qualitatively, in presence of inertia or abusive conducte of the actuator, and quantitative , as it is aimed at the conservation of the heritage. The PhD thesis deals with the study of “contratti di godimento in funzione della successiva alienazione”
introduced by Article 23 of Law Decree no. 133 of 12 September 2014 (Decreto Sblocca Italia),
converted in Law no. 164/2014.
This type of negotiation was already widespread through models known as rent-to-buy, buy-to-rent and
help-to-buy, borrowed from the Anglo-American legal experience, characterized by pricing dilution
mechanisms, in order to solve home loans interruptions, caused by the recent economic crisis.
It is appropriate to highlight that the use of the classic model of sale, regulated by Article 1460 and
following of Civil Code, gives the step to the ever-expanding use of proclaimed forms of sale,
characterized by a progressive realization of the translational affair.
The transaction deduced in rent to buy - now " contratti di godimento in funzione della successiva
alienazione " – consists, in fact, of a first necessary step with effect of oblige, which creates a position
of enjoyment for the renter and a second stage with “real effects”, in which property transfer is carried
out, which is only potential, since the legal rule does not provide for mutual agreement between the
parties to conclude the act of sale, but gives to the renter the right to purchase.
The paper also takes into account tax profiles, not regulated by law, but indicated by an Explanatory
Circular issued by Revenue Agency, which sets out the rules governing the tax regime of the case.
Work’s objective is to identify contract’s “essential legal effects”, which allow us to first draw the
boundaries with the many similar figures, including “pre-contract with anticipate execution”, “lease
convertible in sale”, “collegamento negoziale” between lease and pre-contract or option, in order to
identify the “proprium” of the figure introduced by the Decree “Sblocca Italia”.
The study of this contract goes through the identification of the cause, considering the method observed
- different from the theory of “sussunzione” - which presupposes a unified process of interpretation
and qualification aimed at identifying contract’s “essential legal effects”, which define the “minima unità
effettuale”.
After the identification of the “essential legal effects” along with the individual interests put forward by
the parties, it is possible to trace the most appropriate discipline to fit the concrete case, which is to be
sought within the whole system, disagreeing with classification methods that would lead to stiffening
of the negotiating cases. [edited by Author]
